General terms and conditions

1. General
These general terms and conditions govern the use of the SimplyPulse service, which is provided by SimplyPulse AB, org. no. 559513-3561, with registered address at Göteborgsvägen 46, 431 37 Mölndal. SimplyPulse can be contacted by email at info@simplypulse.io.
These terms and conditions apply unless otherwise agreed in writing between SimplyPulse and the customer, for example by a separate agreement via e-mail.
2. Scope of the service
SimplyPulse is a digital platform that provides pulse measurements and survey tools to measure employee engagement.
The customer gets access to an administrative portal where administrators and managers can create and manage surveys, add participants, organize segments and analyze results. Employees have access only to surveys they are assigned to, and the ability to update their personal data and communication preferences. Surveys are distributed via email, SMS or push notifications.
The Company reserves the right to update and further develop the Service and adjust the content of subscription packages, provided that this does not result in a significant deterioration of the Service during the current contract period.
3. Use of the service
The service is available to businesses. The Customer undertakes to use the Service in accordance with applicable law and not to:
- Resell, sublicense or charge for access to the SimplyPulse Service to third parties.
- Using the service to create or imitate a competing product.
- misuse the service or use it for illegal or unethical purposes
4. Prices and payment
Current standard prices for SimplyPulse are listed in the Company's price list published on its website (https://www.simplypulse.io/pricing/).
- SimplyPulse is offered in various subscription packages with varying functionality and scope. The features included are specified in the respective package description on the website or in a separate quote.
- The price is charged as a fixed subscription fee per selected contract period, unless otherwise specifically agreed.
- If the Customer receives an individual quote, the price and terms stated in the quote shall apply in preference to the published price list.
- All prices are exclusive of VAT unless otherwise expressly stated.
- Payment terms are 30 days net from the invoice date unless otherwise agreed.
- In addition to the monthly fee, there is an extra charge per SMS sent out via the service.
- The service is billed in advance while SMS costs are billed in arrears.
- In the event of late payment, SimplyPulse is entitled to charge default interest in accordance with applicable legislation.
- There is no refund for periods already paid.
- The company has the right to adjust subscription fees before the start of a new contract period. Price changes must be announced at least 60 days before they take effect.
5. Data protection and confidentiality
The Customer is the controller of the personal data processed within the SimplyPulse service. This includes user data and survey responses collected through the service. The Client is responsible for ensuring that the data entered into the SimplyPulse system is accurate and for having a lawful basis for processing this data.
SimplyPulse acts as a data processor and processes this data in accordance with the EU General Data Protection Regulation (GDPR). The processing is regulated by a separate Data Processing Agreement (DPA).

6. Termination and cessation
The customer has the right to terminate the service at any time. Upon termination, the customer retains access to the service for the period already paid. After termination, all customer data is deleted within a reasonable timeframe.
7. Limitation of liability
SimplyPulse strives to provide a reliable service but cannot guarantee that the service will be free from interruption or disruption. SimplyPulse is not liable for indirect damages, such as financial losses or lost profits, arising from the use of the service.
In the event of any errors, SimplyPulse shall be notified immediately, and SimplyPulse undertakes to take steps within a reasonable time to remedy the problem.
8. Changes to the agreement
SimplyPulse reserves the right to update these terms and conditions. Customers will be informed of any changes by email at least 30 days before the changes come into force. If the customer does not accept the new terms and conditions, they have the right to terminate the contract before they come into force.
9. Applicable law and dispute resolution
These general terms and conditions shall be interpreted and applied in accordance with Swedish law. Any disputes arising in connection with the agreement shall be finally settled by a Swedish general court.
